Terms of Service

1. Service Description

Atriums Circle (the "Service") is a multi-level eLoyalty platform operated by Atriums Marketplace SRL, with registered office at Via Giovanni Giolitti 26, 12068 Narzole (CN), Italy, VAT number IT04031370044 (the "Provider").

The Service enables businesses ("Tenants") to create and manage loyalty programs with point systems, tiered levels, multi-level referral networks, gamification, and electronic invoicing.

2. Account Registration

To use the Service, you must create an account providing accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

You must be at least 18 years old and have the legal authority to bind the business entity you represent.

3. Pay-Per-Use Pricing

The Service operates on a pay-per-use model with no fixed subscription fees. Fees are calculated as follows:

  • Transaction fee: percentage applied to transacted volume
  • MLM fee: percentage applied to distributed multi-level commissions
  • Member fee: fixed monthly fee per active member

Current rates are displayed on the pricing page and may be updated with 30 days' notice. Invoices are generated monthly via the Italian SDI electronic invoicing system.

4. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required. At the end of the trial, pay-per-use billing begins automatically.

5. Multi-Level Network Compliance

The Service's multi-level referral system is designed to comply with Italian Law 173/2005 on direct sales and unfair commercial practices. The system does not constitute a pyramid scheme as:

  • Commissions are based on actual product/service purchases, not recruitment
  • Commission caps prevent excessive payouts
  • Anti-fraud mechanisms detect and prevent abusive patterns
  • All commission structures are transparent and auditable

6. Data Processing

The Provider acts as Data Processor on behalf of the Tenant (Data Controller) for member personal data. Processing is governed by a Data Processing Agreement (DPA) incorporated by reference. See our Privacy Policy for details.

7. Service Level

The Provider commits to a 99.5% monthly uptime SLA for the Service. Planned maintenance windows are communicated at least 48 hours in advance. The Service infrastructure is hosted in the EU.

8. Intellectual Property

The Service, including its software, design, and documentation, is the exclusive property of the Provider. Tenants retain ownership of their data and configurations. The Tenant grants the Provider a limited license to process data as necessary to operate the Service.

9. Termination

Either party may terminate the agreement at any time. Upon termination, the Tenant's data will be available for export for 30 days, after which it will be permanently deleted. Outstanding fees remain payable.

10. Governing Law

These Terms are governed by Italian law. Any disputes shall be subject to the exclusive jurisdiction of the Court of Cuneo, Italy.
